Terms of Service

These Terms of Service ("Terms") govern your use of the Syntene digital concierge and lead qualification service ("the Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business. If you do not agree, do not use the Service.
1. The Service
Syntene provides AI-powered digital concierge and lead qualification services for businesses. The Service includes a branded chat interface, automated visitor assistance, lead capture and scoring, notification delivery, and a client dashboard. We may add, change, or remove features at any time. Descriptions of the Service are for information only and do not constitute a specification or guarantee.
2. Accounts & Eligibility
- You must be at least 18 years old and, if applicable, authorised to bind your organisation
- You are responsible for all activity under your account and must keep your credentials confidential
- You must provide accurate registration information and keep it current
- You may not allow others to use your account, or resell or sublicense the Service without our written consent
We may suspend or refuse access if we reasonably believe an account is being misused or the information provided is false.
3. Trials & Fees
- New accounts receive a free trial period (typically 7 days). Trials may be ended or withdrawn at any time
- Paid plans are charged in advance, as displayed at sign-up or in your service agreement
- Fees are non-refundable except as required by law; partial periods are not prorated
- We may change plan pricing with at least 30 days' notice; changes apply from the next billing period
- You are responsible for all taxes, duties, and third-party costs associated with your use of the Service, unless we state otherwise
- Failure to pay when due may result in suspension or termination of the Service
4. Acceptable Use
You agree not to, and not to permit others to:
- Use the Service for any unlawful, fraudulent, deceptive, or harmful purpose
- Submit content that infringes third-party rights, is defamatory, or is otherwise unlawful
- Interfere with, disrupt, or attempt to gain unauthorised access to the Service or any related systems
- Probe, scan, or test the vulnerability of the Service or its infrastructure without our written authorisation
- Reverse engineer, decompile, disassemble, copy, or attempt to derive the source code, algorithms, or internal workings of the Service
- Scrape, harvest, or bulk-extract data from the Service
- Use the Service to solicit, generate, or submit fraudulent, fabricated, or spam enquiries
- Use the Service in violation of export control or sanctions laws applicable to your jurisdiction
- Use the Service in a way that circumvents lead limits, rate limits, or other restrictions
5. AI Output & Lead Quality Disclaimer
The Service uses artificial intelligence. AI output is generated automatically and may be inaccurate, incomplete, or inappropriate. We make no representation that any AI-generated reply, summary, scoring, or classification is correct, complete, or suitable for any purpose.
- We do not guarantee the quantity, quality, legitimacy, or conversion of any leads
- Leads are raw, unverified information provided by third parties; you are responsible for verifying any lead before relying on it
- The Service does not provide professional, legal, financial, or medical advice, and must not be relied on as such
- You are responsible for reviewing and, where necessary, correcting AI-generated content before acting on it
- You must not present the concierge as a human agent where doing so would be deceptive under applicable law, and you must comply with all laws governing the use of AI in customer interactions in your jurisdiction
6. Your Data & Responsibilities
- You own the data you provide to the Service. You grant us a limited licence to process it solely to operate the Service
- You are the controller of lead data captured through your concierge and are responsible for: lawful collection (including obtaining any required consent from visitors), providing visitors with appropriate privacy information, responding to visitor rights requests, and complying with all data protection laws applicable to you
- You must not upload data you lack the right to process
- You are responsible for the timely response to, and handling of, all leads delivered to you
7. Termination
- You may stop using and cancel the Service at any time by notifying us or as permitted in your dashboard
- We may suspend or terminate access immediately if you breach these Terms, misuse the Service, pose a security risk, or if required by law
- Upon termination: your access ceases, any outstanding fees remain payable, and your data is deleted within 30 days (subject to the Privacy Policy). We may provide a reasonable period to export your data upon request
- Provisions that by their nature should survive termination - including disclaimers, limitation of liability, indemnification, governing law, and arbitration - will survive
8. Intellectual Property
- As between you and us, we (and our licensors) own the Service, including its software, design, branding, algorithms, and content
- You may not copy, modify, distribute, or create derivative works of any part of the Service
- You retain all rights in the data you provide and in your own branding and content
- Any suggestions or feedback you provide may be used by us without obligation to you
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY LEAD, REPLY, OR OUTCOME WILL MEET YOUR EXPECTATIONS.
We are not responsible for the acts or omissions of third parties - including AI model providers, hosting and infrastructure providers, messaging services, or telecommunications carriers - that we rely on to deliver the Service.
10. Limitation of Liability
To the maximum extent permitted by law:
- We shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of business opportunity, or loss of goodwill, arising from or relating to the Service
- We shall not be liable for missed, delayed, mis-scored, or incorrectly qualified leads, or for any actions you take (or fail to take) in reliance on the Service
- Our total aggregate liability for all claims arising from or relating to the Service, whether in contract, tort, or otherwise, shall not exceed the fees you actually paid to us in the twelve (12) months preceding the claim, or one hundred US dollars (USD 100), whichever is greater
- Where a jurisdiction does not permit the exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by that jurisdiction
11. Indemnification
You agree to indemnify, defend, and hold harmless Syntene and its officers, directors, employees, agents, and providers from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your data and any content you submit; (c) claims made by your visitors, customers, or end users; (d) your breach of these Terms or violation of applicable law; or (e) your failure to obtain required consents or provide required disclosures in connection with your use of the Service.
12. Force Majeure
Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, epidemics or pandemics, government action, power or network failures, internet service disruptions, denial-of-service attacks, or failures of third-party providers. Performance is suspended for the duration of such event.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of Cyprus, without regard to conflict-of-law rules. The parties irrevocably submit to the exclusive jurisdiction of the courts of Cyprus for any matter not subject to arbitration below.
Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation for 30 days. If unresolved, the dispute shall be settled by binding arbitration administered in accordance with the rules of the Cyprus Arbitration Association (or, failing that, a mutually agreed arbitrator), with the seat of arbitration in Cyprus. Each party bears its own costs.
Class action waiver: To the maximum extent permitted by law, you agree that disputes will be resolved on an individual basis, and you waive any right to participate in any class, collective, or representative action.
Jury waiver: To the maximum extent permitted by law, both parties waive any right to a trial by jury in any proceeding relating to these Terms or the Service.
14. Changes to These Terms
We may revise these Terms at any time. Material changes will be communicated by email or prominent notice on our website at least 30 days before they take effect, where reasonably practicable. Continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not accept the revised Terms, you may cancel the Service.
15. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service
- Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect
- Waiver: Our failure to enforce any provision is not a waiver of that provision
- No third-party beneficiaries: Nothing in these Terms confers rights on any third party
- Assignment: You may not assign these Terms without our prior written consent; we may assign them without restriction
- Relationship: Nothing in these Terms creates a partnership, agency, or employment relationship
