These Terms of Service ("Terms") govern your use of the Syntene digital concierge and lead qualification service ("the Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business. If you do not agree, do not use the Service.

Syntene provides AI-powered digital concierge and lead qualification services for businesses. The Service includes a branded chat interface, automated visitor assistance, lead capture and scoring, notification delivery, and a client dashboard. We may add, change, or remove features at any time. Descriptions of the Service are for information only and do not constitute a specification or guarantee.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY LEAD, REPLY, OR OUTCOME WILL MEET YOUR EXPECTATIONS.

We are not responsible for the acts or omissions of third parties - including AI model providers, hosting and infrastructure providers, messaging services, or telecommunications carriers - that we rely on to deliver the Service.

You agree to indemnify, defend, and hold harmless Syntene and its officers, directors, employees, agents, and providers from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your data and any content you submit; (c) claims made by your visitors, customers, or end users; (d) your breach of these Terms or violation of applicable law; or (e) your failure to obtain required consents or provide required disclosures in connection with your use of the Service.

Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, epidemics or pandemics, government action, power or network failures, internet service disruptions, denial-of-service attacks, or failures of third-party providers. Performance is suspended for the duration of such event.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Cyprus, without regard to conflict-of-law rules. The parties irrevocably submit to the exclusive jurisdiction of the courts of Cyprus for any matter not subject to arbitration below.

Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation for 30 days. If unresolved, the dispute shall be settled by binding arbitration administered in accordance with the rules of the Cyprus Arbitration Association (or, failing that, a mutually agreed arbitrator), with the seat of arbitration in Cyprus. Each party bears its own costs.

Class action waiver: To the maximum extent permitted by law, you agree that disputes will be resolved on an individual basis, and you waive any right to participate in any class, collective, or representative action.

Jury waiver: To the maximum extent permitted by law, both parties waive any right to a trial by jury in any proceeding relating to these Terms or the Service.

We may revise these Terms at any time. Material changes will be communicated by email or prominent notice on our website at least 30 days before they take effect, where reasonably practicable. Continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not accept the revised Terms, you may cancel the Service.
